1.What eu-food.com is — and is not

eu-food.com is a marketplace that introduces wholesale food suppliers to business buyers and carries the order request between them. The supply contract is concluded between the buyer and the supplier.

We are not a party to that contract, we do not own or handle the goods, and we do not process payments. Money and invoices move directly between the two companies, outside the platform. We do not guarantee the quality, safety, legality or availability of any product listed by a supplier, nor a buyer's ability to pay.

2.Who may use the service

The marketplace is for businesses only. You may use it if you are a company or a sole trader registered for economic activity, and the person who registers is authorised to act for that company. It is not intended for consumers, and consumer distance-selling rules do not apply to deals made here.

3.Accounts, roles and company data

• Each account chooses one role: buyer or supplier. Only buyers can place orders; only suppliers can list products.
• One company profile belongs to one account. A registration number can be used only once on the platform.
• The company details you enter — business name, registration number, VAT number, address and phone — must be accurate and kept up to date. The other side of a deal relies on them.
• You are responsible for everything done through your account, and for keeping your sign-in credentials safe.

4.Supplier obligations

• List only products you are legally entitled to sell, and describe them accurately, including category, unit and payment conditions.
• Comply with all food safety, labelling, traceability, hygiene and tax rules that apply to your goods.
• Keep price tiers correct and non-overlapping, and keep availability up to date. Mark a product out of stock instead of accepting orders you cannot fulfil.
• Respond to incoming order requests, and either confirm or decline them.
• You grant us a non-exclusive, royalty-free licence to display the product content and images you upload, for the purpose of operating and promoting the marketplace.

5.Buyer obligations

• Submit orders only for goods you genuinely intend to buy. An order is a binding request to the supplier; when the supplier confirms it, a contract is formed between you and them.
• Give a correct delivery address, delivery date and contact details.
• Pay the supplier according to the payment conditions shown on the product and anything further you agree with them.

6.How an order works

An order moves through fixed stages, and the platform shows the current stage to both sides:

• Pending — the buyer has sent the request and the supplier has not answered yet.
• Confirmed — the supplier accepted it. A contract now exists between the two companies.
• In transit — the supplier has started delivery.
• Delivered — the supplier has marked the delivery complete.
• Declined or cancelled — a supplier may decline, and a buyer may cancel, while the order is pending or confirmed. Once an order is in transit neither side can cancel it on the platform; sort it out directly with the other company.

7.Prices, invoicing and taxes

Prices are set by suppliers as quantity tiers, and the platform calculates the order total from the tier that matches the quantity ordered. If a quantity falls outside every tier, the order is rejected rather than priced at a different tier.

Unless a supplier states otherwise, prices are exclusive of VAT and do not include delivery. Invoicing, VAT treatment and payment terms are the responsibility of the two companies in the deal.

Total prices of an order are visible only to the buyer and the supplier involved. Using eu-food.com is currently free of charge; if we introduce fees, we will announce them in advance and they will never apply retroactively.

8.Things you must not do

• Post false, misleading or unlawful listings, or content you have no right to use.
• Order from yourself or otherwise inflate marketplace activity artificially.
• Harvest other users' data, scrape the site in bulk, or use it to send unsolicited commercial messages.
• Attempt to bypass authentication, access data belonging to another account, or disrupt the service.

9.Availability and liability

The service is provided "as is". We work to keep it available but do not promise uninterrupted or error-free operation, and we may change or discontinue features.

To the extent permitted by law, we are not liable for lost profit, lost business or indirect damage, nor for any dispute between a buyer and a supplier — including non-delivery, quality defects or non-payment. Nothing here excludes liability that cannot be excluded under Latvian law.

10.Suspension and closing your account

You may stop using the service at any time and ask us to delete your account. We may suspend or close an account that breaks these terms, harms other users, or is used unlawfully. Orders already confirmed are unaffected — the contract between the two companies stands.

11.Governing law and disputes

These terms are governed by the law of the Republic of Latvia. Disputes between you and us that cannot be settled by negotiation fall to the courts of the Republic of Latvia. Disputes between a buyer and a supplier are between those two companies.

12.Changes and contact

We may update these terms; the date above shows the current version, and material changes will be announced in your account. Continuing to use the service after a change means you accept it. Questions: info@eu-food.com.
